Initial public offering and related legal due diligence
- Acted for the sponsors in connection with an aftercare and cosmetic product group’s listing on the main board of the Stock Exchange of Hong Kong. This included, amongst others, preparing a legal opinion on Indonesian law, ensuring compliance with the relevant Indonesian laws and regulations, and providing general Indonesia legal advice and assistance.
- Acted for a property space management and logistics group in conducting legal due diligence on its Indonesian subsidiaries whose businesses include property investment and development, and logistics operations, for the purpose of an initial public offering and listing on the Catalyst platform of the Singapore Exchange, issuing legal opinions and drafting relevant sections of the prospectus. Legal due diligence work included amongst others business license verification, reviewing the Indonesian entities commercial contracts and verification of assets claimed to be owned by the Indonesian entities.
- Acted for an integrated engineering solution provider principally focusing on motion control, industrial computing and other specialised engineering solutions in conducting due diligence on its Indonesian subsidiaries in the business of constructing and operating hydropower plants, trading and property management for the purposes of dual listing on the main board of the Hong Kong Stock Exchange, issuing legal opinions and drafting relevant sections of the prospectus.
- Acted for a property space management and logistics group as their Indonesian legal counsel in connection with their listing on the Main Board of the Hong Kong Stock Exchange. This included, amongst others, conducting legal due diligence on its Indonesian subsidiaries, ensuring compliance with Indonesian laws and regulations, assisting in obtaining the required Indonesian legal and regulatory approvals and licences, issuing legal opinions, drafting relevant sections of the prospectus and providing general Indonesian legal advice and assistance.
- Acted for a multi-brand restaurant group headquartered in Singapore as their Indonesian legal counsel in connection with their listing on the Growth Enterprise Market of the Stock Exchange of Hong Kong. This included, amongst others, conducting legal due diligence on its licensee’s various outlets in Indonesia, ensuring compliance with the relevant Indonesian laws and regulations, assisting in obtaining the required Indonesian legal and regulatory approvals and licences, issuing legal opinions, drafting relevant sections of the prospectus and providing general Indonesian legal advice and assistance.
- Acted for the joint sponsors and underwriters as their Singapore legal counsel in connection with an integrated asset and investment fund management group’s listing on the Growth Enterprise Market of the Stock Exchange of Hong Kong. This included, amongst others, reviewing and commenting on the legal due diligence report prepared by the issuer’s Singapore legal counsel in respect of its asset-management business in Singapore, ensuring compliance with the relevant Singapore laws and regulations, and providing general Singapore legal advice and assistance.
- Acted for a food and beverage group offering Taiwanese snacks and beverages as their Indonesian legal counsel in connection with their listing on the Main Board of the Hong Kong Stock Exchange. This included, amongst others, conducting legal due diligence on its licensee’s various outlets in Indonesia, ensuring compliance with Indonesian laws and regulations, assisting in obtaining the required Indonesian legal and regulatory approvals and licences, issuing legal opinions, drafting relevant sections of the prospectus and providing general Indonesian legal advice and assistance.
- Acted for a leading contractor specialising in the provision of golf course and landscape as their Indonesian legal counsel in connection with their listing on the Main Board of the Hong Kong Stock Exchange. This included, amongst others, conducting legal due diligence on its Indonesian subsidiary, ensuring compliance with Indonesian laws and regulations, issuing legal opinions, drafting relevant sections of the prospectus and providing general Indonesian legal advice and assistance.
